Teil 1 · Was das Unternehmen wert ist

Übersicht

Porsche Automobil Holding SE does not make or sell cars itself. It is an investment holding company whose main asset is a majority voting stake — about 53% of ordinary shares — in Volkswagen AG, Europe's largest carmaker, plus a direct minority stake of roughly 12.5% in the separately listed Porsche AG sports-car maker. Its earnings are essentially its share of what those two companies make, not sales of its own.

Wie das Geld verdient wird

The company earns almost no operating revenue of its own. Its results consist of dividends received from Volkswagen and Porsche AG, plus its share of their annual profit recognized under equity accounting because it holds a large enough stake to exert significant influence, minus its own financing costs and holding-company expenses. A small portfolio of direct technology investments adds a minor, separate income stream.

Wettbewerbsvorteil

Kein erkennbarer Vorteil · Keiner

The company has no product or operating business of its own to defend; its value depends entirely on the competitive position of Volkswagen and Porsche AG, whose moats — if any — belong to those companies, not to the holding.

Was die Nachfrage antreibt

Zyklisch

Results move with the automotive cycle at Volkswagen and Porsche AG — new-vehicle demand, factory utilization, and the heavy investment both companies are making in electrification — since the holding's earnings are just a pass-through of theirs.

Wichtigste Risiken

  • Diesel-emissions investor litigation — The company faces investor lawsuits in Germany alleging it failed to disclose the share-price impact of Volkswagen's diesel-emissions scandal in a timely way while it held a controlling stake in Volkswagen; German courts have referred key questions about a holding company's disclosure liability to the European Court of Justice.

Die Argumente dafür

Buyers argue that the holding gives access to a controlling stake in Volkswagen, and a direct stake in Porsche AG, at a persistent discount to the sum of what those stakes are worth on their own, and that the dividend flow from both is relatively stable even when the holding's own share price is not.

Die Argumente dagegen

Sellers fear that owning shares in the holding rather than in Volkswagen or Porsche AG directly adds a layer of legal and governance risk — including the unresolved diesel-litigation questions — without adding any operating control over how those companies are run, and that a downturn at either subsidiary flows straight through to the holding's own results.
