Partie 1 · Ce que vaut l'entreprise
Vue d'ensemble
VNV Global does not run an operating business of its own. It is a Swedish investment company that buys minority stakes — mostly single-digit to mid-teens percentages — in privately held, fast-growing internet companies with network effects, such as the ride-sharing marketplace BlaBlaCar and the e-scooter operator Voi, and sells them later, typically to a strategic buyer or through a public listing. Its own reported result is the change in the estimated fair value of those stakes, not the sales of the companies it invests in.
Comment l'entreprise gagne de l'argent
VNV does not earn revenue in the conventional sense: it holds equity stakes recorded at estimated fair value, and its profit or loss each period is simply the change in that valuation, driven by portfolio companies' own funding rounds, market comparables and eventual sale prices. About 97% of the investment portfolio consists of such equity stakes rather than interest-bearing assets, so results can swing sharply with venture-capital sentiment even before any company is sold.
Principaux risques
- Execution risk inside portfolio companies — The company states that all portfolio companies carry the risk of losses from deficient procedures, failure to improve products, failure to renew licensing agreements or failure to stay competitive.
- Valuation of unlisted holdings — The company states that a 10% decrease in the price of its non-quoted shares would have affected post-tax profit and equity by about USD 63 million at the end of 2024, illustrating how sensitive results are to estimated fair value.
- Exposure to early-stage companies — The company states that most of its portfolio consists of startups and other early-stage companies that typically generate negative cash flow and may need additional capital to keep operating.
- Disposal risk — VNV states it has an explicit exit strategy of selling holdings to strategic investors or through the market, and that there is a risk it will not succeed in selling at the price recorded on its balance sheet.
- Dependence on key individuals — The company states it is dependent on its senior executives, naming its Managing Director as of particular significance, and that it could be seriously affected if a senior executive left.
Les arguments en faveur
Buyers argue that VNV's network and experience let it back internet companies with strong network effects before they are widely recognized, that several holdings such as BlaBlaCar and Voi have reached positive EBITDA, and that the stock has historically traded at a discount to its own reported net asset value.
Les arguments contre
Sellers fear that most of the portfolio is unlisted and internally valued, making reported results hard to verify, that early-stage companies can need repeated capital injections that dilute value, and that a discount to net asset value can persist for years without closing.
