अवलोकन
Etsy runs online marketplaces where independent sellers list handmade, vintage and craft goods, and buyers come looking for items they would not find in a mass-market store. Etsy does not own inventory and does not ship anything itself: it operates the software, the search and the payment rails, and takes a cut of what passes through. In 2025 the group ran two marketplaces — the core Etsy marketplace and Depop, a resale app for secondhand fashion aimed at younger buyers — after selling the musical-instrument marketplace Reverb in June 2025. Consolidated gross merchandise sales (the total value of goods sold across the marketplaces) were $11.9 billion in 2025, of which the Etsy marketplace was 87.8% and Depop 9.0%. At the end of 2025 the Etsy marketplace had 86.5 million active buyers and 5.6 million active sellers. On 15 February 2026 Etsy agreed to sell Depop to eBay for $1.2 billion in cash, with closing expected in the second quarter of 2026, which would leave the company as a single marketplace again.
यह पैसा कैसे कमाती है
Etsy is paid by its sellers, not by its buyers. The bulk of revenue is a set of fees taken on each sale: a transaction fee on the item price (which also includes the fee charged when a sale comes from Etsy's off-site advertising), a payments processing fee on orders settled through Etsy Payments, and a small fee to list an item. On top of that Etsy sells optional services sellers can choose to buy — on-site advertising to push their listings up in search, and discounted shipping labels. Because the fees scale with the value of goods sold, revenue tracks gross merchandise sales, and the ratio between the two — the take rate — is the number management steers: it was 24.2% in 2025 against 22.3% in 2024. That rising take rate is why revenue grew 2.7% to $2.88 billion in 2025 even as gross merchandise sales fell 5.3%.

The fees Etsy takes automatically on every completed sale across its marketplaces: the transaction fee on the item price (inclusive of the offsite advertising fee), the payments processing fee on orders settled through Etsy Payments, and the listing fee. Paid by the sellers; the buyer sees none of it as a separate charge.
Optional tools a seller can decide to buy: on-site advertising, which promotes a listing inside Etsy's own search results, and discounted shipping labels bought through the platform. This is the faster-growing side of the business, up 11.3% in 2025 while marketplace fees were roughly flat.
प्रतिस्पर्धी बढ़त (Moat)
नेटवर्क इफेक्ट्स · संकीर्णEtsy's advantage is the two-sided marketplace itself: 8.76 million active sellers across the group make the catalogue worth searching, and the buyers that search bring the sellers. A rival cannot buy that inventory of one-off, handmade and vintage items — it has to be assembled one small seller at a time — and the Etsy name has become the default word for that kind of shopping. But the moat is narrow rather than wide, and the 2025 figures show why: active buyers fell 3% to 86.5 million on the Etsy marketplace and habitual buyers fell 9%, so the network is not holding its users automatically. Sellers face little cost to list the same goods on a rival marketplace, a social platform or their own storefront at the same time, and buyers switch on a search result.
मांग को क्या चलाता है
चक्रीयAlmost everything sold on Etsy is discretionary — a gift, a decoration, a piece of jewellery, a personalised item — so demand follows how willing households are to spend on things they do not need. On top of that the year is strongly seasonal: the filing states that sellers see increased sales during the fourth-quarter holiday shopping season, which lifts gross merchandise sales and revenue in the fourth quarter of every year. The 2025 numbers show the sensitivity plainly: consolidated gross merchandise sales fell 5.3% and Etsy marketplace gross merchandise sales fell 4%, with new buyers down 10% year on year.
प्रमुख जोखिम
- Intense competition — Etsy lists competition first among its own risk factors and states it may not be able to compete effectively. Sellers can list the same goods with large online retailers, at craft fairs and local markets, on social networks and — a channel the company now names explicitly — through agentic shopping experiences, or sell wholesale directly to traditional retailers. Etsy also competes with the companies that sell software and services to small businesses.
- Trustworthiness and safety of the marketplaces — The company identifies the perceived trustworthiness and safety of its marketplaces as critical to its success, and flags the risk of fraud and illegal activity on the platform. Because Etsy neither owns nor inspects the goods, counterfeit, unsafe or misdescribed items listed by sellers can damage the brand that draws buyers in.
- Enforcing marketplace policies — Etsy lists the enforcement of its marketplace policies as a strategic risk. The company has to police what may be listed — handmade, vintage or craft-supply criteria among them — across millions of independent sellers, and both under-enforcement and over-enforcement carry costs: the first erodes buyer trust, the second alienates the sellers who supply the inventory.
- Technology disruption, cybersecurity and reliance on third parties — The risk factors cover disruption of Etsy's technology and cybersecurity incidents, dependence on third-party technology the company does not control, and risks in its payments systems. Etsy Payments both moves the money and generates a share of the fee income, so a failure there hits revenue and seller trust at once.
- International trade barriers — Etsy names international trade barriers among its strategic risk factors. A large share of the marketplace's activity crosses borders — small parcels shipped from an individual seller in one country to a buyer in another — so tariffs, customs thresholds and import rules bear directly on whether those orders remain economic.
- Quarterly volatility and missed guidance — The company warns that its quarterly operating results fluctuate and that it may fail to meet the guidance it provides. It also notes the difficulty of tracking its own operational metrics — the buyer and seller counts investors use to judge the business — and the possibility of impairment charges on acquired assets.
- Execution of the Depop sale and past acquisitions — Etsy carries a specific risk factor on the Depop sale, alongside the general risk of acquisitions and partnerships. The agreement with eBay, signed 15 February 2026, is subject to regulatory approval and expected to close in the second quarter of 2026 — it is not certain until it does, and Depop was the group's growing marketplace, up 36.3% in gross merchandise sales in 2025.
- Convertible notes and dilution — Etsy flags its convertible debt as a risk and, separately, the dilution of existing shareholders that can come from the conversion of those notes and from equity issuances.
ग्राहक Concentration
The filing discloses no customer concentration and states no threshold such as a customer accounting for 10% or more of revenue. That is consistent with the structure of the business: Etsy's paying customers are its sellers, 8.76 million active across the group at the end of 2025, and no single one of them is material. The concentration risk sits elsewhere — in the buyers, whose numbers fell in 2025, and in the traffic sources Etsy depends on to reach them.
खरीदने के पक्ष में तर्क
Buyers argue that Etsy owns a catalogue no competitor can replicate — millions of one-off, handmade and vintage items assembled seller by seller over twenty years — and that this is what keeps shoppers coming back for gifts and personalised goods. They point to the take rate, which rose from 22.3% to 24.2% in 2025 and let revenue grow 2.7% to $2.88 billion even while gross merchandise sales fell 5.3%: the company is still finding ways to earn more per transaction, mainly through the faster-growing services line, up 11.3%. They note the model needs almost no capital — Etsy holds no inventory — and that it threw off $693.4 million of operating cash flow and $638.8 million of free cash flow in 2025, most of it returned through the buyback of 14.4 million shares for $777.1 million. The $1.2 billion cash sale of Depop agreed with eBay adds to that firepower and leaves a simpler, single-marketplace company. They also point to signs of stabilisation underneath the headline decline: active sellers stabilised after prior-year falls with better retention, reactivated buyers grew 4% to 30 million, and management said it expects gross merchandise sales to grow through 2026.
बेचने के पक्ष में तर्क
Sellers fear that the core marketplace is shrinking rather than pausing. Etsy marketplace gross merchandise sales fell 4% in 2025, active buyers fell 3% to 86.5 million, habitual buyers — the ones who shop most often — fell 9%, new buyers fell 10% to 21.2 million, and gross merchandise sales per active buyer slipped to $121. They argue the growth in revenue came from charging the remaining sellers more rather than from more commerce flowing through the platform, and that a take rate cannot rise indefinitely before sellers list elsewhere: the company itself lists competition from large online retailers, social networks, agentic shopping experiences and sellers' own storefronts as its first risk factor. They point out that net income fell 46.3% to $163.0 million in 2025, with net margin down from 10.8% to 5.7%. They note the group has now sold Elo7, Reverb and — pending closing — Depop, leaving the shrinking Etsy marketplace as effectively the whole company and removing Depop's 36.3% gross merchandise sales growth from the numbers. And they worry about the exposure the filing itself names: international trade barriers on the cross-border parcels the marketplace runs on, and the discretionary, holiday-weighted nature of the demand.

- 3/4/2026NEUTRAL3 Things to Know About Etsy Stock Before You Buy
Etsy Inc. stock presents itself as an interesting investment opportunity for market players, especially considering that its current quotes are significantly below its past record highs. This situation could suggest potential for future recovery or growth, attracting the attention of those seeking undervalued stocks in the e-commerce sector. Market context analysis and company fundamentals will be crucial to determine the actual investment value, but the discrepancy between the current price and previous peaks is a factor not to be underestimated for those seeking opportunities.
- 2/23/2026POSITIVEGen Z, desperate to get off their phones, is powering a sewing renaissance
Generation Z is driving a renaissance in traditional textile arts like sewing, crocheting, and embroidery, fueled by a desire to disconnect from technology. This shift in consumer habits represents a significant tailwind for companies in the arts and crafts sector. A key potential beneficiary is Etsy, the online marketplace that serves as an epicenter for this creative community. The platform not only facilitates the sale of handmade goods but is also a crucial hub for purchasing raw materials, from yarn to sewing patterns. Increased engagement from a younger demographic could translate into sustained growth in Gross Merchandise Sales (GMS) and an expanded base of both sellers and buyers, strengthening Etsy's market position and offering new growth prospects for investors.
