Parte 1 · Quanto vale a empresa

Visão Geral

SEI Investments builds and operates the back-office technology and investment platforms that banks, wealth advisors, asset managers and institutions use to run their own businesses, rather than selling investment products directly to the public. A private bank, for example, can hand SEI its client accounting, trading and reporting instead of building that infrastructure itself.

Como gera receita

Most revenue comes from technology and operations outsourcing fees charged to client institutions, plus asset management fees earned as a percentage of the assets SEI manages or administers on their behalf. Because both fee types scale with the client's asset base and transaction volume, SEI's revenue rises and falls with financial markets and with how much business its clients route through the platform, not from selling a fixed number of licenses.

Vantagem competitiva

Custos de mudança · Estreita

Once a bank or advisor has moved its client accounting, trading and reporting onto SEI's platform, migrating to a competitor means re-mapping years of client data and retraining staff — a costly, risky project most institutions postpone indefinitely. That inertia, not a unique technology, is what keeps clients paying.

O que impulsiona a procura

Moderadamente cíclico

Asset-based fees rise and fall with market valuations, so a market downturn shrinks revenue even without losing a single client. The technology-outsourcing fees are stickier, tied to long-term contracts rather than daily asset values, which cushions but does not eliminate the swings.

Principais riscos

  • Revenue tied to financial market levels — A meaningful share of fees is calculated as a percentage of client assets under management or administration, so falling markets reduce revenue independent of new business activity.
  • Client concentration in regulated industries — Banks, advisors and asset managers are themselves subject to regulatory and competitive pressure; consolidation among clients or a downturn in their businesses can lead to lost accounts or renegotiated fees.
  • Technology and cybersecurity failures — SEI operates the core processing systems for clients' money and client data; an outage, data breach or processing error exposes the company to client losses, reputational damage and potential liability.
  • Long implementation cycles and client attrition — Winning a new institutional client requires long, complex onboarding, and losing an existing one after years of investment removes a disproportionate share of segment profitability at once.

Concentração de clientes

SEI serves thousands of institutional clients spread across five business lines, and the company does not disclose revenue tied to any single client, consistent with a broadly diversified client base.

Os argumentos a favor

Buyers argue that once a bank or advisor is running its operations on SEI's platform the switching costs are high enough to make revenue durable, that fee growth compounds with rising markets over time, and that broad-based growth across all five business lines in 2025 shows the model working across very different client types at once.

Os argumentos contra

Sellers fear that a meaningful share of fees rides on market valuations SEI does not control, that competition from larger technology and custody providers can erode pricing over a long enough horizon, and that a downturn among SEI's bank and asset-manager clients would show up in SEI's own results with a lag but with full force.
