概览

AGNC Investment Corp. is an internally managed real estate investment trust (REIT), based in Bethesda, Maryland and operating since 2008, that invests on a leveraged basis in Agency residential mortgage-backed securities (Agency RMBS) — pools of US home loans whose principal and interest are guaranteed by Fannie Mae, Freddie Mac or Ginnie Mae. It does not originate or service mortgages and owns no buildings: it is a portfolio of mortgage bonds financed largely with short-term repurchase agreements (repo). At 31 December 2025 the investment portfolio was $94.8 billion, of which 95% was 30-year fixed-rate Agency RMBS and TBAs, with 'at risk' leverage of 7.2 times tangible equity. A small part of the portfolio is credit-exposed (credit risk transfer securities, non-Agency RMBS and CMBS: $0.6 billion). Note that the ticker AGNCN is not the common stock: it is the depositary share (each representing 1/1,000th of a preferred share) of the 7.00% Series C Fixed-to-Floating Rate Cumulative Redeemable Preferred Stock — 13.0 million depositary shares outstanding, $325 million aggregate liquidation preference at $25 per depositary share, cumulative, no stated maturity, no ordinary voting rights, callable by the company at $25 since 15 October 2022. Its coupon has floated since then at 3-Month CME Term SOFR plus 0.26161% plus a 5.111% spread, resetting quarterly, and stood at 9.26624% per annum at 31 December 2025. The business described here is that of the issuer, AGNC, on whose cash flows the preferred dividend depends.

盈利方式

AGNC earns interest on the mortgage bonds it owns and pays interest on the short-term repo borrowings that fund them; what is left is net interest income, to which it adds gains and losses on securities and on interest rate hedges (swaps, Treasury futures, options) and income from TBA dollar roll transactions, a form of off-balance-sheet financing. In fiscal 2025 interest income was $3,523 million and interest expense $2,848 million, leaving net interest income of $675 million; other net gains added $1,122 million and operating expenses were $127 million, for net income of $1,670 million, of which $161 million went to preferred dividends and $1,509 million to common shareholders. Costs are unusually low for a financial firm — 1.19% of average stockholders' equity — because the company is internally managed and buys no external manager. As a REIT it must distribute at least 90% of taxable income each year and states its intention to distribute 100%, so profits are paid out rather than reinvested and growth comes from issuing new shares. Preferred dividends, including the Series C, are cumulative and rank ahead of the common dividend.

护城河

成本优势 · 狭窄

The asset itself is a commodity: any investor can buy the same government-guaranteed mortgage bonds at the same price, so there is no pricing power, no brand and no customer to lock in. What AGNC does have is a structural funding and cost edge that the filing describes explicitly. It finances part of its portfolio through a wholly-owned captive broker-dealer, Bethesda Securities LLC, a member of FINRA and of the Fixed Income Clearing Corporation, which gives it direct access to bilateral, tri-party and GCF repo funding — the company says this lowers funding cost, reduces collateral requirements and limits counterparty exposure. Its scale (a $94.8 billion portfolio) and internal management keep operating expenses at 1.19% of average equity. Because a leveraged spread business earns the difference between two market rates, a few basis points of cheaper funding is a real and repeatable advantage — but it is narrow, since it protects the margin, not the book value, and does nothing against a widening of mortgage spreads.

需求驱动因素

周期性

There is no product demand cycle here in the usual sense: what drives results is the interest rate and mortgage spread cycle. Earnings come from the gap between asset yields and repo funding costs, so a steep yield curve and wide mortgage spreads on new purchases mean high prospective returns, while an inverted curve or spread compression squeezes them. Book value moves in the opposite direction: wide spreads mean cheap entry points but mark the existing portfolio down. The 2025 filing shows the swing plainly — an economic return on tangible common equity of 22.7% in 2025 against 13.2% in 2024 and 3.0% in 2023, with net spread and dollar roll income per share falling from $1.88 to $1.50 even in the good year as legacy low-rate swaps matured. Falling rates also accelerate prepayments, forcing reinvestment at lower yields; the weighted average projected CPR rose to 9.6% at the end of 2025 from 7.7% a year earlier as the 30-year mortgage rate fell to 6.16%. Leverage of 7.2 times tangible equity amplifies every one of these moves.

主要风险

  • Spread risk is inherent to a levered investor in Agency RMBS — The company states that when the gap between the yield on its assets and its interest rate hedges widens, tangible net book value typically declines, and that its hedges normally do not protect against this. Spreads can widen because of central bank policy, regulation, fiscal policy and rising deficits, higher volatility, thinner liquidity, more Agency RMBS supply or a shift in investor sentiment.
  • Heavy use of leverage magnifies losses — The strategy involves significant leverage — the company expects to run at six to ten times tangible stockholders' equity and may operate outside that range — which increases the risk of substantial losses. It also warns it may be unable to procure or renew funding on favourable terms, or at all, and that borrowing costs may rise faster than the yield on its investments.
  • Margin calls can force asset sales at the worst moment — Funding and derivative agreements require collateral to be maintained; if the value of that collateral falls, counterparties demand more. The company warns that meeting margin calls creates liquidity risk, may consume its unencumbered cash and securities, and could force it to sell assets under adverse market conditions or through foreclosure, and that a decline in asset fair value both reduces comprehensive income and makes financing harder.
  • Prepayment and extension risk on the mortgage pools — When borrowers repay faster than expected, typically as mortgage rates fall, proceeds must be reinvested at lower yields and premium amortisation reduces interest income. When they repay more slowly, in a rising-rate environment, assets extend beyond their expected life while the swaps hedging them do not, leaving a smaller share of the funding hedged just as asset prices fall. The company also warns that prepayment behaviour is hard to predict and that the historical link between rate moves and prepayment can break down.
  • Government and Federal Reserve participation in the Agency RMBS market — Purchases or sales by the Fed and other government-related entities move mortgage spreads directly. The Fed has reduced its Agency RMBS holdings to about $2.1 trillion at 31 December 2025 from a peak above $2.7 trillion, and the company warns that a faster-than-expected reduction could increase volatility, reduce liquidity and widen spreads, hurting tangible net book value. It also flags federal housing finance reform and possible changes to the conservatorship of Fannie Mae and Freddie Mac, and notes that in January 2026 the President announced he had instructed the GSEs to invest $200 billion in Agency RMBS, with pace, scope and duration unknown.
  • Loss of REIT status or of the Investment Company Act exemption — The company relies on the Section 3(c)(5)(C) exemption from the Investment Company Act, which requires at least 55% of assets in qualifying real estate interests and 80% in real estate-related assets; losing it would sharply restrict its ability to use leverage. Separately, failing the REIT income, asset or distribution tests would trigger corporate tax and materially reduce cash available for distribution, and complying with those tests can force it to forgo investments or limit its hedging. It also notes uncertainty over how its TBA positions are treated for the REIT asset and income tests.
  • No minimum dividend level has been established — The company states it has not established a minimum dividend payment level and may be unable to pay dividends in the future, and that it may choose to pay dividends in its own stock, in which case holders could owe tax in excess of the cash received. It also warns that the market price and trading volume of its stock may be volatile.

客户集中度

AGNC has no customers: it buys securities in the open market and sells nothing, so the filing discloses no customer concentration and none can be calculated. The equivalent exposures are on the other side of the balance sheet. Funding is spread across 48 repurchase agreements, and at 31 December 2025 the maximum amount at risk with any single counterparty was less than 2% of tangible stockholders' equity for repo and less than 1% for derivatives; part of the funding also runs through the FICC as central counterparty via the captive broker-dealer. Asset-side concentration is the real one: essentially the whole portfolio depends on the guarantees of Fannie Mae, Freddie Mac and Ginnie Mae, and 95% of it sits in 30-year fixed-rate Agency RMBS and TBAs.

看多理由

Buyers of the Series C preferred argue that they sit ahead of a very large common equity cushion — $12.4 billion of total stockholders' equity at 31 December 2025 against $2,033 million of aggregate preferred liquidation preference across all six series — and that the coupon is cumulative, so an unpaid dividend accrues rather than disappears. They point to the floating structure: since October 2022 the rate resets quarterly at 3-Month CME Term SOFR plus 0.26161% plus 5.111%, standing at 9.26624% at the end of 2025, which pays holders more when short rates are high and reduces the price sensitivity to rates that a fixed-coupon preferred would have. On the issuer, they argue the assets are guaranteed against credit loss by the US government or the GSEs, so the risk is one of price and financing rather than default; that liquidity was $7.6 billion of unencumbered cash and Agency RMBS, 64% of tangible equity, at year end; that expenses of 1.19% of average equity are among the lowest in the peer group; and that 2025 showed the model working, with a 22.7% economic return on tangible common equity and net income of $1,670 million against $161 million of preferred dividends — roughly ten times cover.

看空理由

Sellers fear the leverage: at 7.2 times tangible equity, a move in mortgage spreads that the company itself says its hedges do not cover flows straight into book value, and the equity cushion protecting the preferred can thin quickly — the same filing shows an economic return of 3.0% in 2023 and a $0.29 fall in tangible book value per common share in 2024. They fear the funding chain, since a $94.8 billion portfolio is financed largely with repo of one day to one year that has to be rolled continuously, and margin calls in a stressed market could force sales at bad prices. Specifically on the Series C, they fear the coupon now floats: with the rate tied to 3-Month Term SOFR, falling short rates cut the cash received, and the security has been callable at $25 per depositary share since 15 October 2022, so the upside is capped whenever refinancing becomes cheaper for the issuer — the company issued a new 8.75% fixed-rate Series H in September 2025. They also note that the preferred has no maturity and no ordinary voting rights, that dividends can be suspended (accruing, but unpaid), and that the whole business depends on policy: the Fed's balance sheet runoff, housing finance reform and the conservatorship of Fannie Mae and Freddie Mac, and the continued availability of the Investment Company Act exemption on which the leverage rests.
