PDD Holdings operates two Chinese-founded e-commerce platforms: Pinduoduo, which pioneered group-buying deals inside China, and Temu, a low-price marketplace selling directly to shoppers in the US, Europe and beyond. Neither platform holds its own inventory. Instead, PDD connects independent merchants — mostly manufacturers and wholesalers selling near cost — to buyers, and profits from what happens around the sale rather than the sale itself: promoted placement, advertising tools and a cut of each transaction.

Revenue comes from two sources charged to the merchants on its platforms, not from consumers directly. Online marketing services are fees merchants pay to have their listings promoted and shown higher in search and recommendation feeds — effectively an advertising auction. Transaction services are a percentage commission on completed sales plus payment processing. Both platforms sell largely discretionary, low-ticket goods to price-sensitive shoppers, so volumes move with how squeezed household budgets feel, particularly in China where consumer confidence has been soft. Temu's international growth adds exposure to shifting tariff and de minimis import rules in the US and Europe, which can change the economics of shipping low-value parcels overnight.

  • Revenue routed through a VIE structure — PDD does not directly own the Chinese entity holding its licenses; it consolidates it through contracts, because Chinese law restricts foreign ownership. Those contracts have never been tested in a PRC court, and authorities could in principle disallow the structure.
  • Tariff and import-rule changes for Temu — Temu ships low-value parcels directly from Chinese manufacturers to shoppers abroad, a model sensitive to de minimis exemptions and tariff rules that governments in the US and Europe have already moved to tighten.
  • Cash trapped inside China — A large portion of the group's net assets cannot be transferred out of mainland China under local capital-control and dividend rules, limiting how freely cash generated there can fund the rest of the business.
  • Intense competition on price — Alibaba, JD.com, ByteDance's e-commerce arm and, internationally, Amazon and Shein all compete for the same price-sensitive shoppers, which limits pricing power and keeps marketing spend high.
  • US listing depends on continued audit access — American depositary shares could be barred from trading in the US if regulators are ever again unable to inspect the company's auditors in mainland China or Hong Kong.

Buyers argue that Pinduoduo's low-cost, manufacturer-direct model and Temu's international expansion give PDD access to a much larger addressable market than a China-only platform, and that both businesses can keep growing profitably even while competing mainly on price.

看空理由

Sellers worry that the VIE structure PDD depends on has never been tested in a Chinese court, that Temu's low-price parcel model is exposed to tightening tariff and import rules abroad, and that intense price competition from Alibaba, JD.com and Western rivals leaves little room for durable pricing power.
